Legal Agreements
Regional variations of the MushVision End User License Agreement (EULA).
1. Data Ownership & Intellectual Property
All data generated through the MushVision application, including 3D point clouds, LiDAR meshes, metadata, and captured frames, are the exclusive property of Zivi Farms Private Limited. Users acknowledge they have no claim of ownership over digitized representations of mushroom beds once processed by Zivi Farms infrastructure. Zivi Farms retains all rights, title, and interest in the software, algorithms, and improvements made based on user data.
2. Perpetual Data Usage License
The User grants Zivi Farms an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, modify, and aggregate raw scan data to refine algorithms and commercialize agricultural data. This license survives the termination of a user's account.
3. Limitation of Liability
The MushVision application is provided on an "As-Is" basis. Zivi Farms makes no guarantees regarding the accuracy of spatial assessments, yield estimations, or side-by-side comparative analyses. Zivi Farms is not liable for loss of crops, financial revenue, or business opportunities resulting from reliance on the application's data or comparative features.
4. Professional Conduct & Non-Compete
The application is for professional agricultural use only. Users are prohibited from using MushVision to develop or benchmark a competing mushroom documentation service. Unauthorized reverse engineering or interception of LiDAR data streams is strictly prohibited.
5. Data Aggregation & Monetization
Zivi Farms reserves the right to anonymize and aggregate User data. Aggregated data is the sole property of Zivi Farms and may be sold or exploited for commercial gain without further notice.
6. Indemnification
The User agrees to indemnify, defend, and hold harmless Zivi Farms Private Limited from any third-party claims, losses, or damages arising from the User’s misuse of the application or violation of these terms.
7. Termination of Access
Zivi Farms may suspend or terminate access at any time for violations. Upon termination, access to historical scan data ceases immediately, while Zivi Farms' license to use previously uploaded data survives.
1. Digital Personal Data Protection (India)
In accordance with the Digital Personal Data Protection Act (DPDP), users consent to the processing of agricultural data for agricultural initiatives conducted by Zivi Farms. Dispute resolution is subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
2. All Other Sections
All terms stated in the Global Standard Agreement (Sections 1 through 7) apply in their entirety to the India Jurisdiction.
1. GDPR Compliance (EU Specific)
Zivi Farms Private Limited acts as the Data Controller for users in the European Economic Area (EEA). Personal data is processed under the legal basis of "Contractual Necessity." Users retain the right to "Data Portability" for personal account information only; this does not apply to proprietary agricultural scan data.
2. Data De-identification & Erasure
While Zivi Farms maintains a perpetual license for scan data, such data will be fully de-identified and anonymized if a user exercises their "Right to Erasure" (Right to be Forgotten) under GDPR.
3. Data Residency
Personal data may be processed on secure servers outside the EEA. Zivi Farms utilizes Standard Contractual Clauses (SCCs) to ensure a level of data protection equivalent to EU standards.
4. All Other Sections
Sections 1, 3, 4, 5, 6, and 7 of the Global Standard Agreement apply in their entirety.
BINDING ARBITRATION AND CLASS ACTION WAIVER
ANY DISPUTE OR CLAIM RELATING IN ANY WAY TO THE USE OF MUSHVISION WILL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT. THE USER WAIVES THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
2. Disclaimer of Warranties and Limitation of Liability
THE MUSHVISION APPLICATION AND ALL INFORMATION, CONTENT, AND DATA ARE PROVIDED BY ZIVI FARMS ON AN "AS IS" AND "AS AVAILABLE" BASIS. ZIVI FARMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. ZIVI FARMS WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE APP.
3. California Privacy Rights (CCPA/CPRA)
California residents have the right to request access to their personal data and to opt-out of the "sale" or "sharing" of personal information as defined by state law. Requests can be submitted via the application settings.
4. All Other Sections
Sections 1, 2, 4, 6, and 7 of the Global Standard Agreement apply in their entirety.
